About the Job
The Legal Counsel is responsible for directing AEG's legal affairs including drafting key business agreements, providing legal support, advice and counsel for AEG and all its subsidiaries and related entities. The responsibilities will include preparing, reviewing and negotiating all varieties of legal documents, employment matters, and intellectual property protection and ensure compliance with all international, federal, state and local laws and regulations. The successful candidate will effectively ensure legal conformity and minimize probability of exposure.
- Serve as legal advisor to General Counsel, senior management and division heads on all key business transactions and legal matters
- Direct and manage legal services for AEG, representing AEG and its subsidiaries on all legal matters.
- Prepare, review and negotiate all varieties of legal documents including but not limited to broadcast agreements, employment agreements, sponsorship agreements, merchandising agreements, vendor/service agreements, waivers, consents, real estate documents, finance documents, and legal correspondence.
- Work closely with individual departments, teams, facilities and related entities to anticipate, identify and manage liability areas, legal exposure and risk management.
- Review and understand all corporate documents, interpret, draft/revise league (MLS, NHL, AHL, ECHL, etc.) documents and major partner agreements. Provide clarification and guidance on legal language as needed.
- Ensure compliance with applicable international, federal, state and local laws and regulations.
- Advise in the areas of employment practices, human resources and general business practice compliance.
- Oversee intellectual property management for AEG, its teams, facilities and all other related entities.
- Provide analysis and guidance on strategic projects and deals. Participate in special projects as requested.
- Keep current on industry-wide legal trends and developments.
- A minimum education level of: Doctor of Jurisprudence (JD) from an ABA accredited school; CA bar membership preferred.
- Area of Study : Law
- A minimum of 7-10 years of related work experience
- License to practice law, be in good standing with the California State Bar and ability to practice law in California.
- Concrete understanding of contract and corporate law, intellectual property and business transactional principles.
- Strong interpersonal and presentation skills including ability to communicate effectively both verbally and in writing with a variety of contacts, including outside attorneys, senior management and business associates.
- Highly analytical and able to examine the facts related to cases and contracts
- Sound judgment, reasoning and decision-making skills.
- High level of personal integrity and professional ethics.
- Strong negotiation skills
- Proficient in Microsoft Office Suite (Outlook, Word, Excel, PowerPoint), and ability to learn required business systems.
- Must be able to work a flexible and dynamic work schedule that accommodates the needs and demands of the stakeholders regarding project requests.
- Flexible and adaptable to changing business conditions.
